Definitions
"MURRINFOLK PTY LTD," "we," "us," and "our" mean MURRINFOLK PTY LTD (ABN 50 698 937 343, ACN 698 937 343).
"Customer" and "you" mean the entity or individual entering into an agreement with us for the Services.
"Service" and "Services" mean AI agent design, build, deployment, hosting, and ongoing operation provided by MURRINFOLK PTY LTD.
"Agent" means the custom AI worker or prebuilt digital AI tool delivered to you as part of the Services.
Service description
MURRINFOLK PTY LTD builds custom AI agents and sells prebuilt digital AI tools to perform tasks defined in the agreed scope or product description. Each custom engagement typically begins with a discovery call, followed by an agreed scope document, build, testing, deployment, and ongoing operation as agreed between the parties. Prebuilt tools purchased through this store are delivered as a digital build and handover according to the product description.
Service boundaries and customer responsibility
The Services provide AI-assisted drafting, workflow, checklist, template, and internal review support only.
MURRINFOLK PTY LTD does not provide legal, financial, investment, tax, AML, sanctions, PEP, KYB, KYC, broker, banking, payment, or regulated compliance advice.
Customers are responsible for reviewing and approving all outputs before use and for ensuring their use of the Services complies with applicable laws and professional obligations.
The Services do not involve custody, transfer, exchange, routing, or management of money, digital assets, or financial instruments.
Scope, fees, and payment
MURRINFOLK PTY LTD offers two payment models. Prebuilt digital AI tools sold in this store (including Public Pulse Desk, Signal Sheet Studio, and Boardroom Brief Maker) are sold at fixed prices displayed at checkout, typically in Australian dollars (AUD), and paid at the time of purchase through this store’s payment provider. Custom builds are quoted in writing before any payment is taken; once the quote is accepted, an invoice is issued and payment must be received before build begins. Fees may include a one-time build fee and, where separately agreed, recurring fees for ongoing hosting, maintenance, or operation. Unless otherwise stated on your quote or invoice, prebuilt purchases use the currency shown at checkout.
Dual-network debit cards (eftpos)
Notwithstanding the payment brand logo displayed when you enter your payment information, whenever you use a dual-network debit card displaying eftpos and another payment brand, your payment might be processed through either network.
Online purchases through this store are processed by Shopify Payments and/or other payment methods enabled in this store. Co-branded Australian debit cards may be routed over the eftpos network or an international scheme (such as Visa or Mastercard), depending on the card and transaction. Proprietary eftpos-only cards cannot be used for online purchases. Apple Pay and other wallet payments using an eligible Australian debit card may also be routed over eftpos when you select that option on your device.
Delivery timeframe
A typical build is 5 to 15 business days from confirmed scope or purchase (for prebuilt tools, from order confirmation). Complex agents may take longer; where that applies, revised timeframes will be communicated in writing.
Customer responsibilities
You agree to:
• Provide accurate information and timely feedback
• Supply any access credentials reasonably required for deployment
• Use Agents lawfully and in accordance with these terms and our acceptable use rules
Acceptable use
You must not use Agents for unlawful purposes, harassment, fraud, or any activity that would reasonably harm other people, systems, or MURRINFOLK PTY LTD.
Intellectual property
MURRINFOLK PTY LTD retains ownership of underlying frameworks, tooling, and reusable components. You receive a licence to use the deployed Agent for your internal business purposes in accordance with the agreed scope or product description. Your data and content you supply remain your property.
Confidentiality
Each party will keep the other’s confidential information confidential and use it only for the purpose of the engagement, subject to standard exceptions (for example, legal compulsion).
Warranties and disclaimers
We provide the Services with reasonable skill and care. AI agents may produce errors or unexpected outputs; you are responsible for reviewing outputs before relying on them for material decisions. To the maximum extent permitted by law, all other warranties, conditions, and guarantees are excluded except as stated in these terms or required by law.
Australian Consumer Law
Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot be lawfully excluded.
Limitation of liability
To the extent permitted by law, our total aggregate liability arising out of or in connection with the Services is capped at the fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, or loss-of-profit damages, except where such exclusion is prohibited by law.
Termination
Either party may terminate for material breach that is not remedied within fourteen (14) days of written notice. We may suspend Services for non-payment or for breach of acceptable use rules.
Refunds and cancellations
Refund and cancellation rights are set out in our Refund policy for this store.
Dispute resolution
You agree to contact MURRINFOLK PTY LTD first at Tom.Brown@murrinfolk.com to resolve any dispute before initiating a chargeback or legal proceedings. The parties will attempt to resolve disputes in good faith within thirty (30) days before escalating.
Governing law
These terms are governed by the laws of New South Wales, Australia. Each party submits to the exclusive jurisdiction of the courts of New South Wales.
Modifications
We may update these terms from time to time. Material changes will be communicated to active customers by email at least fourteen (14) days before they take effect, where required by law.
General
These terms constitute the entire agreement between the parties regarding their subject matter. If any provision is held invalid, the remainder remains in effect. We may assign our rights to an affiliate or successor with notice where required; you may not assign without our prior written consent.
Product Nature
All products sold in this store are digital products, including custom-built AI assistants, templates, structured workflows, and quickstart materials.
No physical goods, banking services, payment services, broker services, investment services, AML services, KYC/KYB provider services, or regulated financial services are provided.
Important Disclaimer
Murrinfolk provides AI workflow assistants, drafting tools, templates, and internal-use digital products only.
MURRINFOLK PTY LTD is not a bank, payment institution, financial adviser, law firm, broker, AML reporting entity, or regulated compliance screening provider.
Our tools do not make final legal, financial, investment, tax, AML, sanctions, PEP, KYB, KYC, payment, onboarding, or broker decisions.
All outputs must be reviewed and approved by the customer or their qualified adviser before use.
We do not hold, transmit, route, exchange, manage, or control customer funds, digital assets, or financial instruments.
User Responsibility
Customers are solely responsible for reviewing, approving, and applying any outputs generated by the tools.
The tools are designed to help organize, draft, structure, and prepare information for internal review only.
